    TERMS OF USE

    The following terms and conditions (“Terms of Use”) are between you and Wawa, Inc. (“Wawa” or “we”) and govern your use of Wawa’s websites and other software- and Internet-enabled programs and services offered by Wawa, including mobile applications, rewards programs, gift cards, surveys, sweepstakes and other prize promotions, together with all information, content, materials and products (including software) included in or available through such programs and services (collectively, “Wawa Programs and Services”).

    PLEASE READ THESE TERMS OF USE CAREFULLY BEFORE USING ANY OF THE WAWA PROGRAMS AND SERVICES. BY USING THE WAWA PROGRAMS AND SERVICES YOU AGREE TO BE BOUND BY THESE TERMS OF USE.

    1. INCORPORATION OF RELATED TERMS

    These Terms of Use incorporate by reference Wawa’s Privacy Policy. Additionally, certain Wawa Programs and Services may be governed by additional terms and conditions presented in conjunction with them (“Program and Service Terms”). These Terms of Use and Wawa’s Privacy Policy, together with any such Program and Service Terms, constitutes the entire agreement between you and Wawa related to the Wawa Programs and Services. These Terms of Use, Wawa’s Privacy Policy, and any such Program and Service Terms will apply equally. In the event of a conflict, the Program and Service Terms will prevail.

    2. ACCESS AND USE

    The Wawa Programs and Services are for your personal, non-commercial use only. You may use the Wawa Programs and Services only for lawful purposes and in accordance with these Terms of Use and any applicable Program and Service Terms. Except as expressly permitted in these Terms of Use or the applicable Program and Service Terms, you may not copy, distribute, publish, transmit, modify, publicly display or perform, create derivative works of or otherwise exploit any part of the Wawa Programs and Services. The Wawa Programs and Services are protected by copyright, trademark, patent, trade secret, international treaties, laws and other proprietary rights. Wawa reserves all rights not expressly granted to you.

    You acknowledge that you may be required to register, provide certain personal information, or create a password prior to being able to access and use certain Wawa Programs and Services. You agree to maintain only one account; provide honest, accurate, current and complete information about yourself; and to maintain and promptly update your account with any changes to your information. You acknowledge and agree that you are responsible for maintaining the confidentiality of your account information and password, and for all activities under any account registered to you. You agree not to enable any third party to access the Wawa Programs and Services using your account information.

    You acknowledge and agree that the Wawa Programs and Services, or certain features of the Wawa Programs and Services, may change from time to time without notice to you. Any such change that augments, enhances or modifies the Wawa Programs and Services is subject to these Terms of Use and any applicable Program and Service Terms.

    3. SECURITY

    You agree not to take any action that might compromise the security of Wawa’s websites or any other Wawa Programs and Services, render Wawa’s websites and other Wawa Programs and Services inaccessible to others or otherwise cause damage to Wawa’s websites and other Wawa Programs and Services. Unauthorized attempts to modify, add to or subtract from any information stored on, accessed or collected by Wawa’s websites or any other Wawa Programs and Services, to defeat or circumvent security features, or to utilize Wawa’s websites or any other Wawa Programs and Services for other than their intended purposes are prohibited and may result in criminal prosecution and damages.

    4. EQUIPMENT AND THIRD PARTY SERVICES

    You are responsible for providing the equipment to access and use the Wawa Programs and Services. Certain Wawa Programs and Services may also require the services of one or more third parties, such as a wireless carrier or a mobile platform provider. You acknowledge and agree that Wawa is not a party to your contracts with any such third parties and, as such, does not guarantee or assume any liability for the availability, accuracy, integrity or quality of the services provided by such third parties. Further, Wawa does not guarantee that the Wawa Programs and Services are accessible on any particular equipment or device or with any particular software or service plan. You agree that you are solely responsible for all charges that apply to the use of such third party services and that your use of such third party services may be subject to separate agreements, terms of use and policies.

    5. PRIVACY

    Any information that you provide to Wawa in connection with the Wawa Programs and Services will be handled in accordance with Wawa’s Privacy Policy. Wawa reserves the right to use third-party service providers in connection with the Wawa Programs and Services. By accessing or using the Wawa Programs and Services, you consent to Wawa sharing your information with any such third-party service providers as necessary to run and administer the Wawa Programs and Services.

    6. PRICING AND AVAILABILITY

    Wawa’s website and other Wawa Programs and Services contain references to and information about Wawa products and services, including product descriptions, pricing, promotions, offers, availability and other information. Such information is subject to change without notice. Wawa makes an effort to provide accurate and timely information about fuel prices. Generally, changes in fuel prices are reflected in the mobile application and website within thirty minutes. However, actual location price may vary from the last reported price in the mobile application or website. Further, the availability of Wawa products and services may be limited by individual store participation.

    7. ERRORS AND CORRECTIONS

    Wawa attempts to be accurate in its description of Wawa products and services, including product descriptions, pricing, promotions, offers, availability and other information. However, Wawa’s websites and other Wawa Programs and Services may contain errors, inaccuracies or omissions related to products and services. Additionally, there may be errors, inaccuracies or omissions in the operation of the Wawa Programs and Services. All such errors, inaccuracies and omissions will be corrected where discovered by Wawa or brought to our attention. Wawa reserves the right to correct any errors, inaccuracies or omissions on Wawa’s websites and other Wawa Programs and Services, revoke any stated offer, and cancel any orders related to such information (including after an order has been submitted). If you have already been charged for a purchase and your order is cancelled, Wawa will issue a refund for amounts paid. You further agree that Wawa will have broad discretion to address and rectify any errors, inaccuracies or omissions in the operation of the Wawa Programs and Services. If any product that you purchased is not satisfactory to you, you may return it for a refund in accordance with Wawa’s return policies.

    8. INTELLECTUAL PROPERTY

    All content included in or made available through any of the Wawa Programs and Services, such as text, graphics, images, audio clips, digital downloads and data compilations (collectively, “Content”), as well as the color selections, organization and layout of such Content, is the copyrighted property of Wawa, its affiliated companies or their respective licensors. Further, WAWA, the Wawa logo, and other trademarks, service marks, taglines, graphics and logos used in connection with Wawa Programs and Services (“Wawa Marks”) are trademarks or registered trademarks of Wawa, its affiliated companies or their respective licensors.

    No right, title or interest in and to the Content or the Wawa Marks is transferred to you as a result of accessing or using the Wawa Programs and Services. Wawa reserves all rights not specifically and expressly granted to you. Unless otherwise specified, you may not copy, imitate, use, modify, distribute, transmit, display, reproduce, publish, create derivative works from or frame in another website, transfer or sell any of the Content or the Wawa Marks, without Wawa’s prior written permission. The preceding expressly applies to the practices of “screen scraping”, “database scraping” and any similar use of data mining, robots, or other data gathering and extraction tools. Wawa further prohibits use of the Wawa Marks as a "hot" link to any website, including Wawa’s websites, without Wawa’s prior written permission.

    9. THIRD-PARTY CONTENT

    Wawa’s websites and other Wawa Programs and Services may link to or otherwise enable access to third-party websites, information or services, including social media sites (“Third-Party Content”). Such Third-Party Content and links are provided solely as a convenience to you. They do not constitute or imply an endorsement, sponsorship, or recommendation by Wawa. By accessing such Third-Party Content, you acknowledge and agree that Wawa does not control such Third-Party Content and, as such, Wawa does not guarantee the availability, accuracy, integrity or quality of such Third-Party Content. You further agree that neither Wawa nor its third-party service providers assume any liability for such Third-Party Content, including any such Third-Party Content that may be offensive, indecent or objectionable. Wawa reserves the right to change, suspend, remove or disable access to any such Third-Party Content at any time without notice. If you use such links to third-party websites, you will leave Wawa’s website, and may be subject to separate terms of use and other policies applicable to such third-party websites.

    10. USER-GENERATED CONTENT

    You agree that you, and not Wawa, are responsible for all content, written or otherwise (including ideas and feedback), that you upload, post, email, transmit or otherwise make available in connection with the Wawa Programs and Services (“User-Generated Content”). Wawa does not control the User-Generated Content posted and, as such, does not guarantee the accuracy, integrity or quality of such User-Generated Content. Although Wawa does not pre-screen User-Generated Content, Wawa has the right, but not the obligation, to delete or move any User-Generated Content for any reason. You understand that by using the Wawa Programs and Services, you may be exposed to User-Generated Content of other users that is offensive, indecent or objectionable.

    You acknowledges and agree that User-Generated Content may be used, reproduced, displayed, modified, deleted, added to, adapted, and published by Wawa (for example, in product marketing campaigns). By acknowledging and agreeing to these Terms of Use, or by submitting User-Generated Content, you grant to Wawa, its affiliated companies and their respective successors and assigns a worldwide, irrevocable, transferrable, sublicensable, fully-paid and royalty-free, and non-exclusive license to use, reproduce, display, modify, delete from, add to, adapt, publish, distribute and prepare derivative works from the User-Generated Content. You represent and warrant that you own or otherwise control all rights in and to any such User-Generated Content, and that public posting and use of your User-Generated Content by Wawa will not infringe or violate the rights of any third party.

    11. CHANGES TO TERMS

    Wawa may change these Terms of Use at any time, with or without notice. Wawa will post the revised Terms of Use on its website. Any such change will become effective at the time Wawa posts the revised Terms of Use.

    12. TERMINATION

    Wawa may suspend or terminate any of the Wawa Programs and Services or terminate or limit your access and use of the Wawa Programs and Services at any time without notice or liability. Any obligation or liability you incur prior to such termination will survive the termination.

    13. ASSIGNMENT

    Wawa may assign these Terms of Use and any Program and Service Terms, in whole or in part, at any time without notice and without such assignment being considered a change to the agreement between you and Wawa. Upon assignment, Wawa will be released from all liability.

    14. GOVERNING LAW; JURISDICTION

    These Terms of Use and your use of the Wawa Programs and Services will be governed by and interpreted in accordance with the laws of the Commonwealth of Pennsylvania, without regard to any conflict of laws provisions. You irrevocably consent to the exclusive jurisdiction of the courts of the Commonwealth of Pennsylvania, Philadelphia County Court of Common Pleas, Commerce Court, and the United States District Court for the Eastern District of Pennsylvania, for any legal action arising out of or relating to the Wawa Programs and Services or these Terms of Use. The preceding sentence does not apply where the applicable Program and Service Terms specify dispute resolution by binding arbitration.

    15. EQUITABLE RELIEF

    You acknowledge that any breach or threatened breach of these Terms of Use or any Program and Service Terms may result in irreparable harm for which damages would not be an adequate remedy, and, therefore, in addition to its rights and remedies otherwise available at law, Wawa will be entitled to seek immediate equitable relief, including injunctive relief, as appropriate. If Wawa seeks any equitable remedies, it will not be precluded or prevented from seeking remedies at law, nor will it be deemed to have made an election of remedies.

    16. MISCELLANEOUS

    If any provision of these Terms of Use is determined to be illegal or unenforceable, the remainder of these Terms of Use shall continue to be fully valid, binding, and enforceable. Failure of Wawa to exercise or enforce any right or provision of these Terms of Use will not constitute a waiver of such right or provision in that or any other instance.

    GIFT CARD TERMS AND CONDITIONS

    Thank you for reviewing these terms and conditions governing your Wawa Gift Card (“Gift Card Rules”). The Gift Card Rules are between you and Wawa, Inc. (“Wawa” or “we”) and describe each party’s respective rights and obligations. These Gift Card Rules apply to all Wawa Gift Cards, whether purchased at a Wawa store locations, online at Wawa.com, through the Wawa mobile application, or received from third parties. By purchasing or using a Wawa Gift Card, you indicate your acceptance of these Gift Card Rules.

    1. INCORPORATION OF RELATED TERMS

    These Gift Card Rules incorporate by reference Wawa’s Terms of Use and Privacy Policy. Additionally, certain programs and services offered by Wawa, including mobile applications, rewards programs, and sweepstakes and other prize promotions, may be governed by additional terms and conditions presented in conjunction with them. The Gift Card Rules, including Wawa’s Terms of Use and Privacy Policy, together with any such additional terms and conditions, constitute the entire agreement between you and Wawa related to your Wawa Gift Card. The Gift Card Rules, Wawa’s Terms of Use and Privacy Policy, and any such additional terms and conditions will apply equally. In the event of a conflict, these Gift Card Rules will prevail.

    2. PURCHASING YOUR WAWA GIFT CARD

    2.1 Wawa Gift Cards are issued by Wild Goose Gift Card LLC, an affiliated company of Wawa. You can purchase Wawa Gift Cards at a Wawa store location, online at Wawa.com, through the mobile app, or by calling the Wawa Customer Relations team at 1-800-444-9292. Wawa Gift Cards are available for a minimum value of U.S. $5 and for up to a maximum value of U.S. $500; however, you can only put up to U.S. $100 on a Wawa Gift Card per transaction. Wawa prohibits the sale of Wawa Gift Cards in an aggregate amount exceeding U.S. $10,000 to any one person on any one day at a Wawa store or online. Purchases of Wawa Gift Cards in an aggregate amount exceeding U.S. $10,000 must be made through the Wawa Customer Relations team at 1-800-444-9292.

    2.2 The dollar value on your Wawa Gift Card is prepayment only for purchases using your Wawa Gift Card. No credit card, credit line, overdraft protection or deposit account is associated with your Wawa Gift Card. No interest, dividends or any other earnings on funds deposited to a Wawa Gift Card will accrue or be pair or credited to you by Wawa.

    3. USING YOUR WAWA GIFT CARD

    3.1 You can use your Wawa Gift Cards at any Wawa store location. We reserve the right, in our sole discretion, to restrict the purchase of certain products with your Wawa Gift Card. Purchase amounts that exceed the value of your Wawa Gift Card will require an additional payment for the balance due. Subject to Wawa’s return policies, if you return a purchase made with your Wawa Gift Card, the purchase amount will be credited to your Wawa Gift Card or put on a newly issued Wawa Gift Card if the one you used to make the purchase is no longer available. At our discretion, we may also give you cash for a return purchase made with a Wawa Gift Card. For a return purchase made with more than one payment method, we will issue a credit to each of the applicable payment methods used. Unless otherwise required by law, any amount on your Wawa Gift Card is nonrefundable and may not be redeemed for cash. In New Jersey, gift cards with less than $5 are redeemable for cash on customer request. Similar requirements may apply in other states.

    3.2 Your Wawa Gift Card does not have an expiration date. No fees apply to your Wawa Gift Card.

    4. BALANCE INFORMATION; ERRORS AND CORRECTIONS

    4.1 The balance remaining on your Wawa Gift Card is generally printed on your receipt after every transaction. You can also obtain the balance remaining on your Wawa Gift Card by asking a Wawa associate to check it for you at any Wawa store location, online at Wawa.com or by calling the automated Wawa Gift Card balance hotline at 1-877-217-5366. To obtain your balance information online or by phone, you will need to provide the unique card number and scratch-off pin number on the back of your Wawa Gift Card. If you are a member of the Wawa Rewards program (“Program”) and have registered your Wawa Gift Card to your Program account, you can check the balance remaining on you Wawa Gift Card by accessing your Program account on WawaRewards.com or through the Wawa mobile application. For more information about the Program, please refer to the Wawa Rewards Program Terms and Conditions and Frequently Asked Questions.

    4.2 We reserve the right to correct the balance of your Wawa Gift Card if we believe that a clerical, billing or accounting error occurred. If you have questions regarding your transactions or any correction, or if you dispute any transaction or correction that has been assessed against your Wawa Gift Card, please contact us online at Wawa.com or through our Wawa Customer Relations team at 1-800-444-9292. You are responsible for monitoring your transactions and account balances.

    5. RELOADING YOUR WAWA GIFT CARD

    5.1 You can reload your Wawa Gift Card at any Wawa store location, regardless of whether there are funds remaining on your Wawa Gift Card or whether it has a zero balance.

    5.2 If you are a Wawa Rewards Program member, you also have the option through the Wawa mobile application or through WawaRewards.com of reloading active Wawa Gift Card(s) registered to your Program account. You may choose a one-time reload or ongoing automatic reloads when your Wawa Gift Card balance falls below a specified amount. Your credit card or debit card will be billed according to the amount you have selected. Automatic reloads generally occur within one hour after your Wawa Gift Card balance dips to or below the minimum balance you specified. We will notify you after each automatic reload confirming that your Wawa Gift Card has been loaded, the amount reloaded and the new balance. To disable automatic reloads, you must disable the automatic reload feature within at least one hour before your Wawa Gift Card balance dips to or below the minimum balance you specified for automatic reload in order to allow sufficient time for the change to go into effect. Once the dollar value is loaded, the transaction cannot be reversed.

    6. LOST, STOLEN OR DAMAGED WAWA GIFT CARDS

    You are solely responsible for the security of your Wawa Gift Card and for all transactions made with your Wawa Gift Card, including unauthorized transactions. Lost, stolen or damaged Wawa Gift Cards will not be replaced. You may protect the balance on your Wawa Gift Card against loss, theft or damage by registering it at WawaRewards.com or through the Wawa app. Wawa will replace the remaining balance on a registered card at the time Wawa is notified of the loss.

    7. CHANGES TO TERMS

    Wawa may change the Gift Card Rules at any time, with or without notice. Wawa will post the revised Gift Card Rules on its website. As permitted by applicable law, any such changes will become effective at the time Wawa posts the revised Gift Card Rules.

    8. DISPUTE RESOLUTION

    YOU AND WAWA AGREE TO GIVE UP ANY RIGHTS TO LITIGATE CLAIMS IN A COURT OR BEFORE A JURY OR TO PARTICIPATE IN A CLASS ACTION OR REPRESENTATIVE ACTION WITH RESPECT TO A CLAIM. OTHER RIGHTS THAT YOU WOULD HAVE IF YOU WENT TO COURT, SUCH AS ACCESS TO DISCOVERY, ALSO MAY BE UNAVAILABLE OR LIMITED IN ARBITRATION.

    8.1 Any claim or dispute between you and Wawa, its affiliated companies and their respective officers, directors, employee, agents or contractors arising from or relating to the Program or these Program Rules, will be resolved by binding arbitration before a sole arbitrator in Philadelphia, Pennsylvania administered by the American Arbitration Association (“AAA”) under its Commercial Arbitration Rules as supplemented by AAA Supplementary Procedures for Consumer-Related Disputes.

    8.2 Prior to initiating any arbitration, you must first present any claim or dispute to Wawa by contacting the Wawa Customer Relations team at 1-800-444-9292 to allow for an opportunity to resolve the dispute. You or we may initiate arbitration if your claim or dispute cannot be resolved within 60 days.

    8.3 All administrative fees and expenses of arbitration will be divided equally between you and Wawa during the course of the arbitration. In all arbitrations, each party will bear the expense of its own counsel, experts, witnesses and preparation and presentation of evidence at the arbitration.

    8.4 An arbitrator may not award relief in excess of or contrary to what this agreement provides, order consolidation or arbitration on a class wide or representative basis, or award damages aside from the prevailing party’s actual damages, or punitive damages, except that the arbitrator may award on an individual basis damages required by statute and may order injunctive or declaratory relief pursuant to an applicable consumer protection statute. Any arbitration will be confidential, and neither you nor we may disclose the existence, content or results of any arbitration, except as may be required by law or for purposes of enforcement of the arbitration award. Judgment on any arbitration award may be entered in any court having proper jurisdiction. If one or more provisions of this arbitration clause is deemed to be illegal or unenforceable, the remainder of this arbitration clause shall be unaffected and shall continue to be fully valid, binding, and enforceable.

    9. GOVERNING LAW

    These Gift Card Rules will be governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania, without regard to its conflict of laws provisions.

    10. MISCELLANEOUS

    If any provision of these Gift Card Rules is deemed to be illegal or unenforceable, the remainder of these Gift Card Rules shall be unaffected and shall continue to be fully valid, binding, and enforceable. Failure of Wawa to exercise or enforce any right or provision of these Gift Card Rules will not constitute a waiver of such right or provision in that or any other instance.
